Real Simple Finance, Inc. is a Certified Public Accounting (CPA) firm providing bookkeeping, accounting, financial reporting, accounts payable and receivable management, sales and use tax compliance, accounting system configuration, and financial advisory and consulting services to businesses.
While RSF is licensed to perform attest services (including audits, reviews, and compilations as defined under applicable state law), such services are not a primary focus of our practice and are offered selectively. Clients requiring attest services should confirm availability and scope directly with RSF prior to engagement.
RSF does not provide legal advice or investment advice. Clients requiring those services should engage appropriately licensed professionals.
Where RSF provides advisory or consulting services, such services represent professional judgment and general guidance — not guarantees of specific outcomes or results.
RSF's professional services are subject to applicable federal and state financial privacy laws, including the Gramm-Leach-Bliley Act ("GLBA"). See our Privacy Policy for details.
All professional services are governed by a separate written Engagement Letter or Service Agreement executed between RSF and the client. In the event of any conflict between these Terms and a signed Engagement Letter, the Engagement Letter controls.
RSF reserves the right to decline any engagement at its sole discretion.
You are responsible for the accuracy, completeness, and timeliness of all information, documents, and data you provide to RSF. RSF's work product is dependent on the information you supply. RSF is not liable for errors, omissions, or delays in deliverables resulting from inaccurate, incomplete, or untimely information provided by the client.
RSF treats all client financial information as strictly confidential. We do not disclose client information to third parties except:
Clients are responsible for safeguarding any credentials or portal access provided by RSF. RSF is not liable for unauthorized access resulting from the client's failure to protect credentials.
All content on this website — including text, graphics, logos, service descriptions, templates, and design elements — is the property of Real Simple Finance, Inc. and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without express prior written permission from RSF.
RSF reserves the right to seek equitable relief, including injunctive relief and specific performance, in any court of competent jurisdiction in the event of actual or threatened infringement of its intellectual property rights or breach of confidentiality obligations. Such equitable relief may be sought without the requirement to post bond and notwithstanding the arbitration provisions of Section 11.
You agree to indemnify, defend, and hold harmless Real Simple Finance, Inc. and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the website or our services; (b) your violation of these Terms; (c) inaccurate, incomplete, or misleading information you provide to RSF; or (d) your violation of any third-party rights.
RSF reserves the right, at your expense, to assume exclusive control of any matter subject to indemnification. You agree to cooperate with RSF's defense of any such claim.
This website and its content are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. RSF does not warrant that the website will be error-free, uninterrupted, secure, or free of harmful components.
This disclaimer applies to the website and its content only. Professional services rendered under a signed Engagement Letter are governed by the terms and professional standards applicable to that engagement.
To the fullest extent permitted by applicable law, RSF's total liability to any client or website visitor for any claim arising out of or relating to these Terms, our website, or our services shall not exceed the total fees paid by that client to RSF in the three (3) months immediately preceding the claim.
RSF is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages of any kind — including lost profits, lost data, or business interruption — even if RSF has been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability arising from gross negligence, willful misconduct, or fraud.
Our website or client portal may contain links to third-party websites or integrate with third-party platforms (e.g., QuickBooks Online, client portal providers). RSF is not responsible for the content, privacy practices, security, or terms of those platforms. Your use of third-party platforms is governed by their respective terms of service and privacy policies.
Agreement to Arbitrate. Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms, our website, or our services — including disputes about the formation, validity, interpretation, breach, or termination of these Terms — shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified herein. The arbitration shall be conducted by a single arbitrator, seated in Fresno County, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver. You and RSF each waive any right to bring or participate in any class, collective, or representative action. All disputes must be arbitrated or litigated on an individual basis only.
Jury Trial Waiver. To the extent any dispute proceeds in court rather than arbitration, both parties waive their right to a jury trial.
Exceptions. Either party may seek emergency or provisional injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute. Claims arising from RSF's intellectual property rights (Section 6) may be brought in court without arbitration.
Opt-Out. You may opt out of this arbitration agreement within 30 days of first using our website or services by notifying us in writing at info@realsimplefinance.com. Opting out does not affect the other provisions of these Terms.
As a CPA firm, RSF is subject to the professional standards and ethical requirements of the California Board of Accountancy and the American Institute of Certified Public Accountants (AICPA). Nothing in these Terms supersedes RSF's obligations under applicable professional standards.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. For any dispute not subject to arbitration under Section 11, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Fresno County, California.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions shall continue in full force and effect.
RSF's failure to enforce any provision of these Terms shall not constitute a waiver of RSF's right to enforce that provision or any other provision in the future.
RSF reserves the right to modify these Terms at any time. Changes are effective upon posting to the website. For active clients, material changes will be communicated directly. Continued use of the site or our services after changes are posted constitutes acceptance of the updated Terms.
